This Agreement is entered into as of the signing date below (the "Effective Date") between 3rd Son Acquisitions, a division of 3rd Son Properties ("Company"), and the individual or entity identified in the signature block below ("Recipient"), in connection with Recipient's review of certain off-market real estate opportunities, deal terms, seller and property information, pricing, and related materials that Company may disclose to Recipient (the "Confidential Information").
Recipient agrees to keep all Confidential Information disclosed by Company strictly confidential and will not disclose, publish, or share it with any third party — including other investors, agents, wholesalers, or brokers — without Company's prior written consent. Recipient will use Confidential Information solely to evaluate a potential transaction directly with Company.
Recipient agrees not to contact, negotiate with, or transact directly or indirectly with any seller, property owner, agent, or other party introduced or identified through Confidential Information provided by Company, and not to circumvent Company in any resulting transaction — whether by acting directly, through an affiliate, or through any other person or entity — without Company's prior written consent.
Both the confidentiality obligations in Section 1 and the non-circumvention obligations in Section 2 remain in effect for twelve (12) months from the Effective Date (the signing date below).
Recipient acknowledges that a breach of this Agreement may cause Company irreparable harm not adequately compensable by money damages alone, and Company may be entitled to injunctive relief in addition to any other remedies available at law or in equity, including recovery of any commission, fee, or profit Company is deprived of as a result of a breach.
This Agreement is governed by the laws of the State of Indiana. If any provision is found unenforceable, the remaining provisions remain in full force. This Agreement may be signed electronically and such signature is binding to the same extent as a handwritten signature.
